Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of traickai.com and the TRAICK sales-pipeline intelligence platform (the "Service") operated by TRAICK Ltd. ("the Company," "we," "us," or "our"), located at 199 Buyukdere Caddesi, Sisli, Istanbul 34394, Turkey. By creating an account or otherwise using the Service, you accept these Terms in full. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. Nothing in these Terms limits any statutory rights you may have under the laws of your country of residence.

2. What the Service Does

TRAICK connects to your CRM via read-only OAuth integration, ingests deal-pipeline data, and applies signal-based analysis to identify deals at risk of stalling. The Service produces a ranked action list delivered via in-app dashboard, weekly digest email, and optional Slack notifications. The Company's role is to surface information already present in your pipeline data; all sales decisions remain with your team. TRAICK is not a CRM and does not write data to your CRM systems.

3. Eligibility and Account Registration

• You must be of legal contracting age in your jurisdiction or have verifiable parental or guardian consent.
• You agree to provide accurate, current, and complete registration information and to keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Notify us immediately at [email protected] if you suspect unauthorised use of your account.

4. Acceptable Use

You agree not to:

• Use the Service in any way that violates applicable law or regulation;
• Introduce malware, viruses, or other harmful code into the Service;
• Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure;
• Scrape, mirror, or reverse-engineer the Service except as expressly permitted by mandatory applicable law;
• Resell or sublicense access to the Service without the Company's prior written consent;
• Use the Service to process personal data in a manner that violates the applicable data-protection rights of the individuals whose information you submit.

5. CRM Data and Your Responsibilities

You are responsible for ensuring that you have the right to connect your CRM to the Service and to share the pipeline data it contains with TRAICK. By connecting a CRM integration, you represent that your organisation's use of TRAICK is consistent with your CRM vendor's terms of service and any data-handling obligations owed to the individuals whose contact records appear in your pipeline. The Company processes CRM data solely to provide the Service as described in these Terms and our Privacy Policy.

6. Intellectual Property

The Service, including its software, algorithms, visual design, documentation, and stall-detection scoring methodology, is owned by the Company or its licensors and is protected by Turkish and international intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during your subscription term. You retain all ownership of your CRM pipeline data; you grant us a limited licence to process it to provide the Service.

7. Subscription, Fees, and Cancellation

The Service is offered on a subscription basis. Current plan details and pricing are published at traickai.com/pricing.html. Subscription fees are billed monthly in advance. You may cancel your subscription at any time from your account settings; access continues until the end of the current billing period, after which no further charges are made. We reserve the right to change pricing with at least 30 days' notice to active subscribers.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaims all warranties to the maximum extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TRAICK's deal-stall signals are probabilistic and are intended as decision-support information, not as guarantees of deal outcome. Mandatory consumer warranties under the laws of your country of residence are not affected by this disclaimer.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability for any claims arising from or related to the Service will not exceed the greater of (a) the total fees you paid to the Company in the three months immediately preceding the event giving rise to the claim, or (b) USD 100. Neither party will be liable for indirect, incidental, consequential, special, or punitive damages, even if advised of the possibility of such damages. These limitations do not apply to liability that cannot be excluded or limited under mandatory applicable law.

10. Indemnification

You agree to indemnify and hold harmless the Company and its officers, employees, and agents from any claims, damages, liabilities, and costs (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your violation of any third-party right, or the content of your CRM data as submitted to the Service.

11. Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment of fees, or conduct that the Company reasonably determines poses risk to the security or integrity of the Service. Where practicable, we will provide notice before termination. Sections 6, 8, 9, 10, 12, and 13 survive termination by their nature.

12. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Turkey, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Service is subject to the non-exclusive jurisdiction of the competent courts in Istanbul, Turkey. This clause does not limit mandatory consumer-protection rights you hold under the laws of your country of residence, nor does it prevent you from bringing a claim in the courts of your own jurisdiction where required by mandatory law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a new effective date at the top of this page. Continued use of the Service after the effective date of revised Terms constitutes acceptance. We will provide reasonable prior notice of material changes to active subscribers via email or in-app notification.
